Terms & Conditions

Effective date: 9 October 2026

These Terms of Use ("Terms") govern access to and use of the Delivera platform, its website, applications, APIs and connections to third-party AI assistants (together, the "Services"), provided by Delivera S.r.l., Via Errico Petrella 8, 20124 Milan (MI), Italy, VAT number 14389230963 ("Delivera", "we"). Contact: info@delivera.ai.

1. Who the Services are for

The Services are intended exclusively for businesses and professionals (private equity funds, investment banks, advisors and similar organizations) acting in the course of their business, not for consumers. Access is granted to an organization that has entered into an agreement with Delivera (the "Customer") and to the individuals it authorizes ("Users"). Where the Customer has signed an order form or a separate agreement with Delivera, that agreement prevails over these Terms in case of conflict.

2. Accounts

Users access the Services with personal credentials or through their organization's single sign-on. Users must keep their credentials confidential, must not share accounts, and must notify Delivera promptly of any unauthorized use. The Customer is responsible for the activity of its Users and for managing their access.

3. The Services

Delivera provides company and financial information, registry data, analysis tools, a CRM and task workspace, document storage and data rooms, and an AI analyst agent that produces answers and deliverables (such as company profiles, financial analyses and presentations). Delivera may update, improve or modify the Services over time; material reductions in functionality for a paying Customer will be communicated in advance.

4. Plans, allowances and fees

Access to certain features (including AI usage, official document purchases, storage and MCP access) depends on the Customer's plan and is measured against allowances. When an allowance is exhausted, the related feature is suspended until it is renewed or raised. Fees, billing periods and payment terms are set out in the Customer's agreement or order form. Purchases of official documents (such as registry extracts or filed accounts) are made only after the User's explicit confirmation and are charged under the Customer's plan.

5. Acceptable use

Users must not:

  • resell, sublicense, redistribute or publish data obtained through the Services outside the Customer's organization;

  • extract data in bulk, scrape, or use the Services to build a competing database or product;

  • attempt to access data or accounts they are not authorized to access, or circumvent security, rate limits or allowances;

  • use the Services for unlawful purposes, including in breach of data protection, anti-money-laundering or market-abuse rules;

  • upload content they have no right to upload, or content that is malicious or infringing.

Delivera may suspend access in case of a breach of this section, a security risk or non-payment, informing the Customer where possible.

6. Use through AI assistants (MCP)

  • Eligibility. MCP access is available to Users of Customers with an active MCP plan. Usage is measured in units per request and counted against the Customer's MCP allowance; when it is exhausted, requests are refused until it is renewed or raised.

  • Permitted use. Data obtained through the MCP connection is subject to the same terms as data obtained in Delivera, in particular section 5.

  • Third-party assistants. The AI assistant (such as Claude or ChatGPT) is a third-party service governed by the User's or Customer's agreement with its provider. Delivera is not responsible for the assistant's outputs, including any restatement, summary or omission of the data Delivera returned; the authoritative record is the data and the sources in Delivera.

  • Confirmation of actions. Actions that modify data or acquire paid documents are performed by Delivera's agent only after the User's confirmation, and are charged under the Customer's plan.

  • Suspension. Delivera may suspend MCP access in case of misuse, security risk or non-payment.

7. Customer content

Documents, data and information uploaded by the Customer or its Users ("Customer Content") remain the Customer's property. The Customer grants Delivera a limited license to host, process and analyze Customer Content solely to provide the Services. Delivera does not use Customer Content to train AI models. Delivera processes personal data contained in Customer Content as a processor on the Customer's behalf, under the data processing agreement between them.

8. Third-party data and AI outputs

The Services include data from public registries and third-party providers, as well as content generated by AI models. Delivera selects reputable sources and shows the source of each figure where available, but does not guarantee that third-party data or AI-generated content is complete, accurate or up to date. Outputs are tools to support the User's professional judgment. They are not investment, legal, tax or accounting advice, and they must be verified before being relied on for decisions.

9. Intellectual property

Delivera and its licensors own all rights in the Services, including software, design, databases and documentation. These Terms grant the Customer a non-exclusive, non-transferable right to use the Services during the term of its agreement, for its internal business purposes. Deliverables generated for the Customer through the Services may be used freely by the Customer for its internal and client work, subject to the rights of third-party data providers.

10. Confidentiality and security

Each party will keep the other's confidential information confidential and use it only to perform under its agreement. Delivera applies technical and organizational security measures appropriate to the nature of the data processed, as described in its security documentation.

11. Liability

To the maximum extent permitted by law, Delivera is not liable for indirect or consequential losses, loss of profits, loss of business or loss of data, nor for decisions taken on the basis of the Services' outputs. Delivera's total liability arising out of or in connection with the Services is limited to the fees paid by the Customer in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability for willful misconduct or gross negligence, or any other liability that cannot be limited under Italian law.

12. Term and termination

Access lasts for the term of the Customer's agreement. Either party may terminate in accordance with that agreement. Upon termination, access ends and Delivera will make Customer Content available for export for a reasonable period, then delete it, unless retention is required by law.

13. Privacy

The processing of personal data in connection with the Services is described in our Privacy Policy (www.delivera.ai/privacy-policy) and, for Customer Content, in the data processing agreement.

14. Changes

Delivera may update these Terms. Material changes will be communicated to Customers in advance by email or within the Services; continued use after the effective date constitutes acceptance.

15. Governing law and jurisdiction

These Terms are governed by Italian law. Any dispute arising from or in connection with them falls under the exclusive jurisdiction of the Court of Milan, Italy.
